Welcome to Balce Law & Accounting ("BLA," "we," "us," or "our"). These Terms and Conditions ("Terms") govern your access to and use of our website at balcelawandaccounting.com and all associated services, features, and content (collectively, the "Platform"). By accessing or using the Platform, you agree to be bound by these Terms. If you do not agree, please do not use the Platform.

These Terms are governed by the laws of the Republic of the Philippines, including but not limited to the Civil Code of the Philippines, the Electronic Commerce Act (R.A. 8792), the Data Privacy Act of 2012 (R.A. 10173), the Consumer Act of the Philippines (R.A. 7394), and applicable rules and regulations of the Professional Regulation Commission (PRC), the Integrated Bar of the Philippines (IBP), and the Bureau of Internal Revenue (BIR).

1. Definitions

  • "Client" or "Customer" — An individual or entity that registers on the Platform to avail of accounting and/or legal services.
  • "Professional" — A licensed accountant (CPA) or lawyer (Attorney) who has been approved to offer services through the Platform.
  • "Engagement" — A formal arrangement between a Client and a Professional for the provision of specific accounting or legal services.
  • "Service Order" — A request by a Client to purchase a business registration or compliance service package offered on the Platform.
  • "User" — Any person who accesses or uses the Platform, including Clients, Professionals, and visitors.
  • "Content" — Any documents, messages, files, data, or other materials uploaded, submitted, or transmitted through the Platform.

2. Eligibility and Account Registration

2.1 Eligibility

You must be at least eighteen (18) years of age and have the legal capacity to enter into a binding agreement under Philippine law to use this Platform. By registering, you represent and warrant that you meet these requirements.

2.2 Client Registration

Clients may register by providing accurate and complete personal information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

2.3 Professional Application and Approval

Professionals (accountants and lawyers) must submit a formal application through the Platform, including valid professional credentials (PRC ID, IBP ID, CPA Certificate, Diploma, Government ID). All applications are subject to verification and approval by our administration. We reserve the right to reject any application at our sole discretion.

Approved professionals must maintain valid and current professional licenses throughout their use of the Platform. Professionals are required to notify us immediately of any suspension, revocation, or expiration of their license.

2.4 Account Accuracy

You agree to provide truthful, accurate, and current information during registration and to update your information as necessary. Providing false or misleading information may result in the suspension or termination of your account.

3. Services and Engagements

3.1 Nature of the Platform

BLA is a professional services platform that connects Clients with licensed accountants and lawyers. The Platform facilitates the management of engagements, appointments, document sharing, messaging, invoicing, and payment processing.

3.2 Professional-Client Relationship

The relationship between a Client and a Professional is a direct professional-client relationship governed by applicable Philippine laws, the Code of Professional Responsibility (for lawyers), and the Philippine Accountancy Act (R.A. 9298) and PRC regulations (for accountants). BLA acts as a facilitating platform and is not a party to the professional-client relationship.

3.3 Service Orders

Clients may purchase business registration and compliance service packages through the Platform. Service orders are subject to availability, payment verification, and the submission of required documents. Processing timelines are estimates and may vary depending on government agency processing times and the completeness of submitted documents.

3.4 Appointments

Clients may book appointments (in-person, video call, or phone) with professionals through the Platform. Appointment fees are determined by the professional's consultation rate and session duration. Cancellation policies apply as stated at the time of booking.

3.5 Confidentiality

All Professionals are bound by the attorney-client privilege (for lawyers) and the duty of confidentiality (for accountants) as required by Philippine law and their respective professional codes. Information shared within engagements is treated as privileged and confidential.

4. Fees, Payments, and Invoicing

4.1 Service Fees

Fees for services are displayed on the Platform and may vary depending on the service type, professional, and scope of engagement. All amounts are denominated in Philippine Pesos (PHP) and are inclusive of applicable taxes unless otherwise stated.

4.2 Payment Methods

Payments may be made through the methods available on the Platform, including GCash and bank transfer. Clients must provide valid proof of payment where required. Payment verification is subject to admin approval.

4.3 Platform Fees

BLA may charge a platform service fee on transactions processed through the Platform. The applicable fee will be disclosed to the user before the transaction is completed.

4.4 Invoicing

Professionals may issue invoices to Clients through the Platform. Invoices are subject to the terms agreed upon in the engagement. Late or non-payment may result in the suspension of services and may be subject to applicable interest and penalties under Philippine law.

4.5 Refunds

Refund eligibility is determined on a case-by-case basis. Refunds for service orders may be available if the order is cancelled before processing has begun. Professional consultation fees are generally non-refundable once the appointment has been completed. Refund requests should be directed to our administration team.

5. Intellectual Property and Content

5.1 Platform Content

All content on the Platform, including text, graphics, logos, icons, images, and software, is the property of BLA or its licensors and is protected by the Intellectual Property Code of the Philippines (R.A. 8293). You may not reproduce, distribute, modify, or create derivative works from any Platform content without our prior written consent.

5.2 User Content

You retain ownership of any content you upload to the Platform (documents, messages, files). By uploading content, you grant BLA a limited, non-exclusive license to store, process, and display such content solely for the purpose of providing the Platform's services.

6. Prohibited Conduct

You agree not to:

  • Use the Platform for any unlawful purpose or in violation of Philippine law
  • Impersonate any person or entity, or falsely state or misrepresent your identity, credentials, or affiliation
  • Upload false, misleading, or fraudulent documents or information
  • Attempt to gain unauthorized access to other users' accounts or Platform systems
  • Transmit viruses, malware, or other harmful code
  • Circumvent or interfere with the Platform's security features
  • Use the Platform to solicit clients or professionals outside of the Platform in a manner that circumvents BLA's processes
  • Engage in harassment, abuse, or discrimination against any user
  • Violate the confidentiality of information obtained through the Platform

7. Limitation of Liability

7.1 Platform Disclaimer

The Platform is provided on an "as is" and "as available" basis. While we strive to maintain a reliable and secure platform, we do not warrant that the Platform will be uninterrupted, error-free, or free from security vulnerabilities.

7.2 Professional Services Disclaimer

BLA is a technology platform that facilitates connections between Clients and Professionals. We do not provide legal or accounting advice directly. The quality, accuracy, and outcomes of professional services are the sole responsibility of the respective Professional. BLA is not liable for any acts, omissions, errors, or negligence of Professionals using the Platform.

7.3 Limitation

To the maximum extent permitted by Philippine law, BLA shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, arising from your use of or inability to use the Platform.

8. Suspension and Termination

We reserve the right to suspend or terminate your account at any time, with or without cause and with or without notice, if:

  • You violate any provision of these Terms
  • You provide false, inaccurate, or fraudulent information
  • Your professional license is suspended, revoked, or expired (for Professionals)
  • Your conduct is detrimental to the Platform, other users, or BLA's reputation
  • Required by law or court order

Upon termination, your right to use the Platform ceases immediately. Data retention will follow the terms outlined in our Privacy Policy.

9. Dispute Resolution

9.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Republic of the Philippines.

9.2 Dispute Resolution Process

Any dispute arising out of or in connection with these Terms shall first be resolved through good faith negotiation between the parties. If the dispute cannot be resolved within thirty (30) days, either party may submit the dispute to mediation under the rules of the Philippine Mediation Center. If mediation fails, the dispute shall be submitted to the exclusive jurisdiction of the competent courts of Camarines Norte, Philippines.

9.3 Professional Complaints

Complaints regarding the conduct of a Professional may also be filed with the appropriate regulatory body: the Professional Regulation Commission (PRC) for accountants, or the Integrated Bar of the Philippines (IBP) and the Supreme Court for lawyers.

10. General Provisions

10.1 Amendments

We reserve the right to modify these Terms at any time. Material changes will be communicated through the Platform or via email. Continued use of the Platform after such changes constitutes your acceptance of the revised Terms.

10.2 Severability

If any provision of these Terms is found to be invalid or unenforceable by a court of competent jurisdiction, the remaining provisions shall remain in full force and effect.

10.3 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and BLA regarding your use of the Platform and supersede any prior agreements or understandings.

10.4 No Waiver

The failure of BLA to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

10.5 Assignment

You may not assign or transfer your rights or obligations under these Terms without our prior written consent. BLA may assign its rights and obligations without restriction.
